Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you", "your", or "Customer"), and Drog AI, a software service operated as part of Drogoz Network ("Drog AI", "we", "us", or "our"), governing your access to and use of our websites, applications, dashboards, application programming interfaces, voice-agent technology, customer-relationship-management tooling, and all related products and services (collectively, the "Services"). By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and all documents incorporated herein by reference. If you do not agree, you must not access or use the Services.

1. Definitions

For the purposes of these Terms, capitalized terms have the meanings set out below:

• "Account" means the registered profile through which you access and use the Services.
• "Content" means any data, text, audio, transcripts, call recordings, prompts, files, contact lists, and other material submitted, uploaded, generated, or transmitted through the Services.
• "Customer Data" means Content that you or your end users provide to or through the Services.
• "Subscription" means a time-limited, recurring right to access designated features of the Services on a monthly (or otherwise stated) rental basis.
• "End User" means any natural person with whom you communicate or whose data you process using the Services, including recipients of calls or messages initiated through the platform.
• "Applicable Law" means all laws, statutes, regulations, rules, orders, and binding governmental requirements applicable to a party or the Services.

2. Eligibility and Legal Capacity

You represent and warrant that: (a) you are at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is greater; (b) you have the full right, power, and authority to enter into and comply with these Terms; (c) if you are entering into these Terms on behalf of an entity, you are authorized to bind that entity; and (d) your use of the Services will comply with all Applicable Law. The Services are not directed to, and may not be used by, any person or entity barred from receiving them under Applicable Law, including the laws of the jurisdictions in which Drog AI operates.

3. Account Registration and Security

To access certain features, you must register for an Account and provide accurate, current, and complete information. You agree to maintain and promptly update such information. You are responsible for safeguarding your credentials and for all activity that occurs under your Account, whether or not authorized by you. You must notify us immediately at legal@drog.ai of any suspected unauthorized access or security breach. Drog AI is not liable for any loss or damage arising from your failure to protect your credentials.

4. Description of the Services

Drog AI provides AI-driven voice-agent technology together with an integrated customer-relationship-management platform, enabling automated and assisted communications, call handling, transcription, campaign management, and related analytics. The Services are offered on a software-rental model. We may add, modify, suspend, or discontinue any feature of the Services at any time, with or without notice, to the extent permitted by Applicable Law. We do not guarantee that any particular feature will remain available indefinitely.

5. Subscriptions, Rental Terms, and Renewal

Access to the Services is provided under recurring Subscriptions billed on a monthly or otherwise stated cycle. Unless expressly stated otherwise:

• Subscriptions grant a limited, revocable, non-exclusive, non-transferable right to use the Services for the paid period only;
• Subscriptions renew automatically for successive periods unless cancelled before the end of the then-current period;
• fees are quoted transparently prior to purchase, and you authorize us to charge the applicable fees for each renewal period;
• on expiry, non-renewal, or termination, your right to access the paid features ceases immediately.

We reserve the right to modify pricing prospectively. Any price change will apply to subsequent billing cycles and, where required by Applicable Law, will be communicated in advance.

6. Cryptocurrency and Payment Terms

Where the Services accept payment in cryptocurrency or other digital assets, you acknowledge and agree to the following:

• Irreversibility. Blockchain transactions are generally irreversible. Once a cryptocurrency payment is confirmed on the relevant network, it cannot be recalled, reversed, or charged back by Drog AI.
• Volatility. Digital-asset values may fluctuate significantly. You bear all risk of exchange-rate movement between initiation and confirmation of a transaction. The amount credited is determined by the value confirmed at the time and network we designate.
• Correct details. You are solely responsible for sending the exact amount to the exact wallet address, on the correct network, within any stated window. Funds sent to an incorrect address, on an unsupported network, or in an incorrect amount may be permanently lost and are non-recoverable.
• Network fees. You are responsible for all applicable network, gas, miner, and processor fees. Credited balances reflect amounts actually received, net of such fees.
• Lawful source of funds. You represent that all digital assets used to pay for the Services derive from lawful sources and are not the proceeds of, and will not be used to facilitate, any criminal activity, money laundering, terrorist financing, or sanctions evasion.
• No investment. Payments made to Drog AI constitute consideration for access to the Services and are not deposits, investments, or securities.

7. Acceptable Use and Prohibited Conduct

Your use of the Services is subject to the Acceptable Use Policy, which is incorporated into these Terms by reference. Without limiting that policy, you must not use the Services to engage in or facilitate: fraud, deception, or scams; phishing, spoofing, or social-engineering attacks; identity theft or impersonation; financial crime, money laundering, or the financing of terrorism; unauthorized access to any system, network, or data; the misuse, harvesting, or unlawful processing of any other person's data; the distribution of malware; harassment, threats, or abuse; or any other activity that is illegal under Applicable Law. Any such use is a material breach of these Terms.

8. Customer Responsibilities and Compliance

You are exclusively responsible for: (a) the lawfulness of your use of the Services and of all Customer Data; (b) obtaining and maintaining all consents, licenses, permits, and authorizations required to conduct your activities, including telemarketing, calling-time, do-not-call, recording, and data-protection requirements; (c) providing all legally required disclosures to End Users; and (d) your compliance with all Applicable Law in every jurisdiction in which you or your End Users are located. Drog AI provides tools, not legal advice, and does not verify the lawfulness of your specific use case.

9. Intellectual Property

The Services, including all software, models, interfaces, designs, text, graphics, logos, and the compilation thereof, together with all associated intellectual-property rights, are and remain the exclusive property of Drog AI, Drogoz Network, and their licensors. Except for the limited license expressly granted in these Terms, no right, title, or interest in the Services is transferred to you. You may not copy, modify, reverse engineer, decompile, disassemble, resell, sublicense, frame, or create derivative works of any part of the Services except to the extent such restriction is prohibited by Applicable Law.

You retain all rights in your Customer Data. You grant Drog AI a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Data solely to the extent necessary to provide, maintain, secure, and improve the Services, and as otherwise described in the Privacy Policy.

10. Third-Party Services and Integrations

The Services may interoperate with third-party products, networks, telephony carriers, payment processors, and application programming interfaces. Your use of such third-party services is governed by their own terms, and Drog AI is not responsible for their availability, accuracy, security, or conduct. We do not warrant or assume liability for any third-party service.

11. Suspension and Termination

Drog AI may, at any time and in its sole discretion, suspend, restrict, or permanently terminate your Account or access to the Services, with or without prior notice, if we reasonably believe that: (a) you have violated these Terms, the Acceptable Use Policy, or Applicable Law; (b) your use poses a security, legal, financial, or reputational risk to Drog AI, its users, or third parties; (c) there is reasonable suspicion that the Services are being used for unlawful purposes; (d) required by a lawful order or governmental authority; or (e) your Account is delinquent. We may also refuse service to anyone for any lawful reason to the maximum extent permitted by Applicable Law.

Upon termination, all licenses granted to you cease immediately, and we may delete or de-provision Customer Data in accordance with our retention practices and Applicable Law. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) shall survive.

12. Warranty Disclaimer

The Services are provided "as is" and "as available." To the maximum extent permitted by Applicable Law, Drog AI and its affiliates, officers, employees, agents, suppliers, and licensors expressly disclaim all warranties, representations, and conditions of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. Drog AI does not warrant that the Services will be uninterrupted, timely, secure, error-free, or free of harmful components, or that any results obtained through the Services will be accurate or reliable. Any material downloaded or otherwise obtained through the Services is accessed at your own discretion and risk.

13. Limitation of Liability

To the maximum extent permitted by Applicable Law, in no event shall Drog AI, Drogoz Network, or their respective affiliates, directors, officers, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings, arising out of or in connection with the Services or these Terms, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Drog AI has been advised of the possibility of such damages.

To the maximum extent permitted by Applicable Law, the total aggregate liability of Drog AI arising out of or relating to the Services or these Terms shall not exceed the greater of (a) the total amount you paid to Drog AI for the Services in the three (3) months immediately preceding the event giving rise to the claim, or (b) fifty United States dollars (USD 50). The foregoing limitations apply notwithstanding the failure of essential purpose of any limited remedy. Some jurisdictions do not allow certain exclusions or limitations; in such jurisdictions, our liability is limited to the smallest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Drog AI, Drogoz Network, and their respective affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, demands, actions, investigations, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Services; (b) your Content or Customer Data; (c) your violation of these Terms, the Acceptable Use Policy, or any Applicable Law; (d) your infringement or misappropriation of any third-party right; or (e) any communication initiated through your Account. Drog AI reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with such defense.

15. Export Control and Sanctions Compliance

You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive economic sanctions, and that you are not identified on any restricted-party, denied-party, or sanctions list maintained by any competent authority. You agree not to use, export, re-export, or provide access to the Services in violation of any applicable export-control or economic-sanctions laws. You further agree not to use the Services for any purpose prohibited by such laws. Drog AI may suspend or terminate access where necessary to comply with these obligations. 16. Law Enforcement Requests

Drog AI respects the rule of law and the privacy of its users. We cooperate with law-enforcement, regulatory, and governmental authorities only where legally compelled to do so by a valid, binding, and properly issued legal order or process that is enforceable against us in the relevant jurisdiction. We evaluate each request for legal sufficiency, and, where lawful and appropriate, we may narrow, challenge, or seek clarification of overbroad requests. Except where prohibited by law, we endeavor to notify affected users of requests relating to their Accounts. Full details are set out in the Compliance Policy.

17. Changes to the Services and to these Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date above and, where required by Applicable Law, provide additional notice. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

18. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with them or the Services shall be governed by and construed in accordance with the laws applicable to Drog AI's principal place of operation, without regard to conflict-of-laws principles. The parties shall first attempt in good faith to resolve any dispute through negotiation. Where a dispute cannot be resolved amicably, it shall be submitted to the exclusive jurisdiction of the competent courts of that jurisdiction, or, at Drog AI's election, to binding arbitration conducted in the English language, to the extent permitted by Applicable Law. You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding, to the maximum extent permitted by Applicable Law.

19. Force Majeure

Drog AI shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, governmental action, labor disputes, power or network failures, denial-of-service attacks, telecommunications failures, or failures of third-party providers.

20. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. Drog AI may freely assign or transfer these Terms in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted assignment in violation of this section is void.

21. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. No waiver of any term shall be deemed a further or continuing waiver of that term or any other term, and Drog AI's failure to assert any right or provision shall not constitute a waiver of such right or provision.

22. Entire Agreement

These Terms, together with the Acceptable Use Policy, Privacy Policy, Refund Policy, Disclaimer, and Compliance Policy, constitute the entire agreement between you and Drog AI regarding the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties. In the event of a conflict between these documents, these Terms shall prevail unless a specific document expressly states otherwise.
